Other registration options (China company registration / Overseas company registration / Ready-made company)

Chinese companies, overseas companies (such as offshore companies), and shelf companies are some common company registration options. The main differences lie in jurisdiction, taxation, and setup speed. For example, Chinese companies are subject to taxation and local regulations; offshore companies are registered overseas and enjoy tax benefits and high privacy; while shelf companies are pre-registered shell companies that can be quickly purchased to start business immediately, suitable for companies that need to operate quickly.

China company registration

  • Types: Domestic companies, wholly foreign-owned enterprises (WFOEs), joint ventures, etc.
  • Features: Must comply with Chinese laws, have tax registration, and have a required registered address.
  • Advantages: Direct operation in China facilitates market expansion.
  • Important notes: Must comply with the "Negative List for Foreign Investment Access"; cross-border capital flows must comply with foreign exchange management regulations. 

Overseas company registration (offshore company) 

  • Types: BVI (British Virgin Islands), Cayman Islands, Seychelles, Bermuda, etc.
  • Features: Usually registered overseas, enjoying low or no taxes, high privacy, and authorized capital system (no capital verification required).
  • Advantages: Tax planning, asset protection, and good privacy.
  • Important Notes: Companies with operations in mainland China must register in China as a non-Hong Kong/non-offshore company. 

Shelf Company

  • Type: A shell company that has been established but has not yet started operating.
  • Features: Quick purchase available, names and documents are complete.
  • Advantages: Quick start-up, saves time on new company registration, and allows for immediate opening of a bank account.
  • Suitable for: those who want to enter the market quickly or need a shell company with a history.
